Terms and Conditions

Versizo provides AI-powered home design services through its website and mobile application, including room redesign, image generation, style visualisations, DIY renovation guides, and related tools (the "Services"). The Services are available on free-tier and subscription plans. Features and usage limits vary by plan.

Versizo reserves the right to update, change, or discontinue any aspect of the Services at any time. Nothing in these Terms guarantees that any specific feature will remain available.

The Services use artificial intelligence models to generate design outputs, visualisations, and related content ("Outputs") based on your inputs. Outputs are probabilistic and may vary significantly. Versizo does not guarantee the accuracy, suitability, or uniqueness of any Output.

Versizo is not responsible or liable for any Outputs or any loss, damage, or consequence arising from their use. All Outputs are generated at your direction and are not attributable to Versizo.

The Services use third-party artificial intelligence and machine learning providers to process your inputs and generate Outputs. By using the Services, you consent to your inputs being processed by these providers solely for the purpose of delivering the Services to you.

Versizo does not sell your inputs to third parties for advertising or marketing. Third-party providers are bound by confidentiality obligations. The quality and nature of Outputs depend on the underlying third-party AI systems, which are outside Versizo's control.

To access certain features, you must create an account with accurate and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You may not share your account or credentials with any other person. Versizo reserves the right to terminate accounts that are being shared or misused. You must not create accounts using automated means or register under false pretences.

In addition to other restrictions in these Terms, you are prohibited from the following:

• Systematically retrieve data or content from the Services to create a database or directory without our written permission.
• Trick, defraud, or mislead us or other users, especially to gain unauthorised access to any account or sensitive information.
• Circumvent, disable, or interfere with security-related features of the Services.
• Disparage, tarnish, or otherwise harm us or the Services.
• Upload or transmit viruses, Trojan horses, or other material that interferes with any party's use of the Services.
• Attempt to impersonate another user or person or use another user's username.
• Interfere with, disrupt, or create an undue burden on the Services or connected networks.
• Attempt to bypass any measures designed to prevent or restrict access to the Services.
• Copy or adapt the Services' software, including Flash, PHP, HTML, JavaScript, or other code, except as permitted by applicable law.
• Decipher, decompile, disassemble, or reverse engineer any software comprising or making up any part of the Services.
• Use any spider, robot, scraper, or offline reader to access the Services without authorisation.
• Make any unauthorised use of the Services, including collecting user emails for unsolicited communications.
• Use the Services to compete with us or for any revenue-generating endeavour not specifically approved by us.
• Delete any copyright or proprietary rights notice from any content.
• Sell or otherwise transfer your account or profile.
• Access the Services through automated or non-human means, whether through a bot, script, or otherwise, unless you accept full responsibility and liability for all actions taken by any automated agent acting on your behalf.
• Use the Services for any illegal or unauthorised purpose.
• Use the Services or any outputs from the Services to train, develop, or improve any machine learning or artificial intelligence models without our prior written consent.
• Upload, generate, request, or transmit any content that depicts, promotes, or facilitates child sexual abuse material, child exploitation, or any content that sexualises minors in any way.
• Upload, generate, or transmit any content depicting or facilitating non-consensual sexual content, sexual violence, or human trafficking.
• Use the Services for political campaigning, political advertising, or to attempt to influence the outcome of any election, referendum, or similar political process, including creating synthetic media depicting real political figures or candidates in a manner intended to mislead voters.
• Create, distribute, or use synthetic or AI-generated media of real individuals for deceptive, fraudulent, or non-consensual purposes, or impersonate any real person.
• Generate content for phishing, social engineering, or any other fraudulent activity, or misrepresent the nature or origin of AI-generated content in a manner likely to cause confusion or harm.

If you upload photographs or images containing identifiable individuals, you represent and warrant that you have obtained explicit, informed consent from each identifiable individual to upload, process, and use their image through the Services, including AI processing and generation based on those images, and that such use does not violate any applicable privacy or data protection law.

Versizo accepts no liability for any breach of privacy or data protection obligations arising from your failure to obtain proper consent.

Versizo retains your data for the following periods:

You retain ownership of all content you upload, including room photographs and other materials ("User Content"). By submitting User Content, you grant Versizo a non-exclusive, worldwide, royalty-free licence to store, process, transmit, and use your User Content solely to provide the Services. This licence does not extend to training AI models on your User Content.

You are solely responsible for ensuring your User Content does not infringe any intellectual property, privacy, or other rights of any third party. Versizo has no obligation to monitor, review, or verify User Content.

By using the Services, you represent and warrant that:

• You are at least 18 years of age.
• You have full power and authority to agree to these Terms.
• You will not use the Services for any illegal or unauthorised purpose.
• All information you provide to us is accurate and current.
• Your use of the Services does not violate any applicable law, regulation, or third-party right.
• You have obtained all necessary consents for any identifiable individuals appearing in content you upload.
• You will not use Outputs in a manner that is deceptive, misleading, or harmful to any third party.

All purchases and subscription fees are processed by our third-party payment processor. By providing payment information, you authorise us to charge the applicable fees to your payment method on a recurring basis. All amounts are in Australian dollars (AUD) unless otherwise stated and are inclusive of GST where applicable.

Versizo does not store, process, or have access to your credit card or payment card details. All payment transactions are governed by the terms and privacy policies of the applicable payment processor. Versizo reserves the right to change pricing with reasonable notice.

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of the current billing period.

If payment fails or is disputed, Versizo may suspend or terminate your access without notice. Delinquent accounts may be referred for collection. Versizo reserves the right to permanently close accounts with repeated payment failures.

The paint visualiser feature provides approximate visual representations of paint colours only. Colours displayed on screen may differ significantly from actual paint colours due to variations in monitor calibration, screen settings, lighting conditions, and surface texture.

Always test physical paint samples before committing to a paint colour. Versizo makes no representation or warranty that any displayed colour will match a real-world paint product.

Nothing in the Services or any Output constitutes professional design, architectural, structural, engineering, interior design, building, financial, legal, or any other category of professional advice. Outputs are generated by automated AI systems for inspiration and visualisation purposes only.

You must consult qualified professionals before undertaking any renovation, construction, or other project. Versizo is not liable for any loss, damage, or cost arising from reliance on any Output without seeking appropriate professional advice.

Versizo may suspend, restrict, or terminate your access to the Services at any time, with or without notice, including where you breach these Terms, engage in conduct harmful to Versizo or other users, or where required by law. You may terminate your account at any time through your account settings.

Upon termination, your right to access the Services ceases immediately. Provisions of these Terms that by their nature should survive termination will do so, including intellectual property provisions, disclaimers, and limitations of liability.

If you believe content available through the Services infringes your intellectual property rights or constitutes illegal content, please contact us at [email protected] with a notice containing:

• Your name and contact details.
• Identification of the content alleged to be infringing or illegal, with sufficient detail for us to locate it.
• A statement that you have a good-faith belief the content is infringing or illegal.
• If a copyright claim, a statement that you are the rights owner or authorised to act on their behalf.

The Services are provided on an "as is" and "as available" basis without warranties of any kind. You use the Services entirely at your own risk.

Nothing in this section excludes or limits any consumer guarantee under the Australian Consumer Law that cannot lawfully be excluded.

To the maximum extent permitted by applicable law, Versizo and its owners, officers, employees, agents, and technology providers will not be liable for any indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy under the Australian Consumer Law or other applicable legislation that cannot lawfully be excluded.

You agree to indemnify, defend, and hold harmless Versizo and its owners, officers, employees, contractors, affiliates, agents, and technology providers from all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of or access to the Services.
• Any User Content you submit.
• Any Output generated from your inputs and any use, distribution, or commercialisation of those Outputs.
• Your breach of any provision of these Terms.
• Your violation of any applicable law or the rights of any third party.

This indemnification obligation survives termination of these Terms.

You are responsible for maintaining the accuracy and security of your account data. Versizo will maintain reasonable administrative, technical, and physical safeguards to protect your information from unauthorised access, disclosure, alteration, or destruction.

No transmission or storage system is guaranteed to be 100% secure. You acknowledge that you provide all User Content at your own risk and that Versizo is not responsible for unauthorised access to or loss of your data beyond what is required by applicable law.

By using the Services, you consent to receive communications from Versizo electronically, including notices, agreements, disclosures, and other communications sent by email or through the Services. You agree that electronic communications satisfy any legal requirement that such communications be in writing.

Electronic acceptance of these Terms constitutes your legal signature and agreement. You waive any rights or requirements under any applicable laws or regulations in any jurisdiction that require an original (non-electronic) signature or delivery or retention of non-electronic records.

Before commencing formal legal proceedings, you agree to notify Versizo in writing of any dispute and to engage in good-faith negotiations for not less than 30 days. This requirement does not prevent either party from seeking urgent injunctive, interlocutory, or other equitable relief from a court of competent jurisdiction where necessary to protect its rights.

Nothing in this clause restricts your rights under the Australian Consumer Law or other applicable legislation.

Versizo reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, for maintenance, updates, or other reasons. Versizo is not liable for any modification, suspension, or discontinuation of the Services.

We do not guarantee uninterrupted access to the Services and will endeavour to provide advance notice of planned downtime where practicable. Versizo is not responsible for any loss or inconvenience caused by service interruptions.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that right and shall not affect the enforceability of any other provision.

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Versizo with respect to the Services and supersede all prior and contemporaneous agreements.

Assignment: You may not assign your rights or obligations under these Terms without Versizo's prior written consent. Versizo may assign its rights at any time without restriction.
